Terms of Service

These Terms of Service ("Terms") govern your use of Agency Chat LLC's website (agencychat.ai) and software services (the "Service"). By accessing the service or sending an SMS message to the AgencyChat phone number, you agree to these Terms.
1. Who We Are
The Service is provided by Agency Chat LLC ("Agency Chat," "we," "us," or "our").
2. Service Scope
Agency Chat provides AI-powered assistant software configured for government organizations. The Service may be accessed through web interfaces, APIs, or messaging channels.
Features may include document and website search, AI-generated responses with citations, translation, accessibility features, and SMS-based informational responses.
In certain deployments, users may submit questions via SMS regarding municipal regulations, public policies, or government information. The Service may respond with a brief informational summary and a temporary link to a detailed response with cited sources.
Responses are generated using automated systems and public source materials and are provided for informational purposes only. The Service does not provide legal advice.
We may update, improve, or modify features over time. If you are an agency customer with an executed contract, your Order Form and SOW define your purchased scope.
3. Account and Acceptable Use
You agree not to misuse the Service, including by:
- Attempting unauthorized access to systems, data, or other customers' environments.
- Using the Service in violation of law, regulation, or agency policy.
- Interfering with platform availability, security, or integrity.
You are responsible for your organization's users and for ensuring your use complies with applicable procurement, records, and accessibility obligations.
4. Pricing, Usage, and Billing
Subscription fees, included usage allowances, prepaid packages, and overage rates are described on our pricing page and/or in your Order Form.
- Usage metering: usage is measured monthly by successful AI interactions and translated characters.
- Burn order: included monthly allowance is consumed first, then prepaid credits, then overage.
- Overages: overage usage is billed in arrears.
- Allowance reset: included monthly allowances reset each billing cycle and do not roll over.
- Prepaid credits: prepaid credits expire per your agreement (default up to 12 months unless otherwise stated).
Fees are non-refundable except as required by law or expressly stated in your contract.
5. Intellectual Property
Agency Chat retains all rights in the platform, software, and related materials. You retain rights in your organization's data, documents, and content you provide to the Service.
6. Privacy and Data Handling
Our data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
7. SMS Messaging
In certain deployments, Agency Chat may provide SMS-based responses to user-initiated inquiries regarding municipal regulations, public policies, or government information.
By providing a phone number and sending a message to Agency Chat, you consent to receive SMS responses related to your inquiry or request for information. Message frequency will vary depending on the number of questions submitted by the user.
Agency Chat sends SMS messages only in response to user-initiated inquiries or service interactions. We do not send unsolicited marketing text messages without prior consent.
Message and data rates may apply according to your mobile carrier plan. Wireless carriers are not liable for delayed or undelivered messages.
You may opt out of receiving SMS messages at any time by replying STOP to any message. After sending STOP, you will no longer receive messages from Agency Chat.

8. Disclaimers
The Service is provided on an "as is" and "as available" basis. While Agency Chat includes safeguards and citation features, AI output may be incomplete or incorrect. The Service does not provide legal advice, and customers are responsible for reviewing outputs and making final decisions.
9. Limitation of Liability
To the maximum extent permitted by law, Agency Chat LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total aggregate liability for claims related to the Service will not exceed the greater of (a) the amounts paid by you for the Service in the six (6) months preceding the event giving rise to the claim, or (b) $10,000.
10. Termination
We may suspend or terminate access for material breach, non-payment, or misuse. You may stop using the Service at any time; contract customers remain responsible for fees and commitments under their signed agreements.
11. Governing Terms for Contract Customers
If you have a signed MSA, Order Form, or SOW with Agency Chat LLC, that agreement controls in the event of conflict with these online Terms.
12. Changes to These Terms
We may update these Terms from time to time. Changes become effective when posted, and the "Last updated" date will be revised.
